Program DisclosuresThe number of points necessary for a specific reservation is determined by the suite size requested, time of year, destination, and duration of stay. Thus, a Member may not have enough points to make reservations in large units or at peak times at popular resorts. Additional charges may apply to certain reservations. Refer to the Club Wyndham Program Guidelines section of this Directory for additional information.Reservations are confirmed on a spaceavailable basis, and there are no guarantees of fulfillment of specific requests. A Member will always be able to obtain a reservation for an accommodation in the Program so long as the Member applies for a reservation in accordance with the procedures outlined in this Directory.Membership includes access membership in either RCI%u00ae, LLC (%u201cRCI%u201d) or Interval International%u00ae (%u201cII%u201d), an international exchange network. Members are not individually charged an annual membership fee.Some reservation features in the program require a fee, such as: Points Rental, Points Deposit Feature, Guest Confirmations, Transfer of Ownership, Worldwide External Exchanges, PlusPartners%u00ae and PIC PlusExchanges. Also, charges for additional Reservation Transactions and Housekeeping Credits may apply, based on Member usage.Participation in the VIP by Wyndham, PICPlus, PIC Express, and the PlusPartners programs is optional and subject to eligibility requirements, including an enrollment fee, as determined by Wyndham Vacation Resorts.Each Member remains eligible to participate in the Program as long as (i) such Member remains current in the payment of all fees and expenses associated with his or her membership, and (ii) the use rights to such Member%u2019s timeshare interest are assigned to the FairShare Vacation Plan Use Management Trust and available for use by the Members. Each Member%u2019s timeshare interest is available for use by all Members within the Program through the reservation system. A Member%u2019s use of the Club Wyndham program is not dependent upon whether or not the Member%u2019s specific suite is used.The Program is for a Member%u2019s own personal use and enjoyment and not for any commercial purposes.All Members%u2019 unused points expire at the end of their Use Years; however, unused points may be deposited any time prior to their expiration for an exchange through your Worldwide External Exchange company.Members may terminate their membership in the Program at any time by giving written notice of termination to the Trustee; upon any termination, the Member%u2019s use rights in the timeshare interest and all rights incident to it shall automatically be returned to the terminated Member.Certain benefits, programs, fees and costs are subject to change and to the individual terms and conditions of the independent suppliers of those respective benefits.If Wyndham Vacation Resorts or the Trustee under the Trust should be prevented, hindered or delayed in the performance of any obligation hereunder, including, but not limited to, providing accommodations, 319
